EULA
This End User License Agreement (the "EULA") is a binding agreement between you (the "User") and Multi Layer Security Pvt. Ltd. ("MSecurity", "we", "us", or "our") governing your installation and use of the MSecurity software application for Windows, macOS, iOS, and Android (the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
This EULA covers the software licence only. The commercial contract — including how you pay, when you may cancel, refund rules, and our overall service responsibilities — is set out in our Terms of Service. Data handling is set out in our Privacy Policy. Both are incorporated into this EULA by reference.
1. The licence we grant you
Subject to your continued compliance with this EULA, the Terms of Service, and timely payment of any applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your personal, non-commercial purposes, on the number of devices and for the period covered by your active subscription.
If you have not purchased a subscription, the licence is limited to the free features the Software exposes — typically the installer, sign-up flow, and any trial functionality we make available.
2. What we own
The Software is licensed, not sold. We retain all right, title, and interest in and to the Software, including all copyrights, patents, trademarks, trade secrets, and other intellectual-property rights. Your rights are limited to those expressly granted in section 1. Any right not expressly granted is reserved.
The Software incorporates third-party open-source components; their licences are listed at /legal/oss-licenses (or inside the Software under Settings → About → Third-party licences). Those components are licensed under their own terms, not this EULA.
3. Things you may not do with the Software
Except to the extent that applicable law expressly permits despite this restriction, you may not, and you may not allow any third party to:
- Copy the Software, except to make a single back-up copy of the installer for archival purposes;
- Modify, adapt, translate, or create derivative works of the Software;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except where applicable law (for example, EU Directive 2009/24/EC for interoperability) expressly permits this notwithstanding a contractual restriction;
- Rent, lease, lend, sell, redistribute, sublicense, or otherwise commercially exploit the Software;
- Remove, alter, or obscure any proprietary notice (copyright, trademark, patent) on or in the Software;
- Use the Software in any manner that violates applicable export-control laws, including those of Nepal, the United States, and the European Union;
- Use the Software to develop a competing product or to benchmark the Software for the purpose of publishing comparative analyses without our prior written consent;
- Bypass, disable, or interfere with the Software's licence enforcement, device-limit enforcement, automatic update mechanism, or telemetry necessary for licence validation.
If you have an open-source obligation to make any modification to the Software public, you may not perform that modification under this licence — contact us for a commercial alternative.
4. Updates and changes to the Software
The Software may automatically check for and download updates that fix bugs, improve threat detection, patch security vulnerabilities, or add features. Updates are part of the Software and are governed by this EULA.
You may decline non-security updates by turning off auto-update in the Software's settings, but mandatory security updates may be installed automatically without prior notice when we judge them necessary to protect users. If you decline a mandatory security update, parts of the Software may stop working.
5. Telemetry and analysis uploads
To deliver the Software's protection, the Software communicates with our servers to:
- Validate your active subscription and device count;
- Download threat-definition updates;
- (Optionally, if you have enabled Cloud analysis) upload files that the on-device scanner cannot confidently classify, so we can analyse them and improve detection for all users.
The full picture of what is collected and why is in our Privacy Policy. By installing the Software, you acknowledge that this communication is required for the Software to function.
6. No warranty
The Software is provided "as is" and "as available". MSecurity does not warrant that the Software will be uninterrupted, error-free, free from harmful components (other than those it is designed to detect), or that all threats will be detected. No security software can guarantee complete protection. You remain responsible for maintaining safe computing practices, keeping your operating system up to date, and backing up your data.
To the maximum extent permitted by applicable law, MSecurity disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion applies only to the extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by applicable law, MSecurity will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, goodwill, or business — arising out of or related to your use of (or inability to use) the Software, even if advised of the possibility of such damages.
Our total aggregate liability under this EULA is capped at the greater of (a) the amount you paid us for the Software in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD 100.
These limits do not apply to (i) liability that cannot be excluded under applicable law, including liability for fraud, gross negligence, or death or personal injury caused by negligence; or (ii) our indemnification obligations under section 11.
8. Termination
This EULA is effective from the moment you install the Software and continues until terminated. You may terminate it at any time by uninstalling the Software and deleting all copies. We may terminate it immediately if you breach any material term.
On termination, your right to use the Software ends and you must uninstall it. Sections that by their nature should survive — including 2 (Ownership), 6 (No warranty), 7 (Limitation of liability), 11 (Indemnification), and 14 (Governing law) — will survive.
9. Export controls
The Software contains encryption technology and is subject to export-control laws, including those of Nepal, the European Union, and (via cryptographic libraries) the United States. You represent that you are not located in, under the control of, or a national or resident of any country to which export is restricted by applicable law, and that you are not on any government list of restricted persons. You are responsible for complying with all applicable export laws when using or transferring the Software.
10. U.S. Government end users
If you are a U.S. Government end user, the Software is "Commercial Computer Software" and "Commercial Computer Software Documentation" as defined in 48 C.F.R. §12.212 (for civilian agencies) or 48 C.F.R. §227.7202 (for the Department of Defense). The Software is licensed to U.S. Government end users only as a commercial item and with only those rights granted to all other end users under this EULA.
11. Indemnification
You agree to defend, indemnify, and hold harmless MSecurity, its affiliates, and its and their officers, directors, employees, and agents from and against any third-party claims, damages, losses, and expenses (including reasonable lawyers' fees) arising out of (a) your breach of this EULA, (b) your misuse of the Software, or (c) any content or data you process using the Software in violation of applicable law or any third-party right.
12. Apple App Store (iOS and macOS users)
If you obtained the Software from the Apple App Store, the following terms additionally apply. In the event of a conflict between these terms and other terms of this EULA, the terms in this section 12 prevail (but only for App Store users).
- Acknowledgement. This EULA is between you and MSecurity only. Apple Inc. ("Apple") is not a party to this EULA and is not responsible for the Software or its content.
- Scope of licence. The licence granted in section 1 is further limited to use on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Software may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.
- Maintenance and support. MSecurity, not Apple, is responsible for providing any maintenance and support for the Software. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Software.
- Warranty. MSecurity, not Apple, is solely responsible for any warranties for the Software, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Software to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Software.
- Product claims. MSecurity, not Apple, is responsible for addressing any claims by you or any third party relating to the Software or your possession or use of it, including (i) product-liability claims, (ii) any claim that the Software fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer-protection, privacy, or similar legislation.
- Intellectual-property claims. In the event of any third-party claim that the Software or your possession and use of the Software infringes that third party's intellectual-property rights, MSecurity (not Apple) is solely responsible for the investigation, defence, settlement, and discharge of any such infringement claim.
- Compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Third-party beneficiary. You and MSecurity acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.
13. Google Play (Android users)
If you obtained the Software from Google Play, your installation is also governed by the Google Play Terms of Service. In case of any inconsistency between the Google Play Terms and this EULA on matters Google Play specifically governs (payment processing, refunds via the Play Store, content review), the Google Play Terms prevail.
Google LLC ("Google") is not a party to this EULA. Google is not responsible for the Software, its content, support, or any warranty claims relating to it.
14. Governing law and disputes
This EULA is governed by the laws of Nepal, without regard to its conflict-of-laws principles. Any dispute arising out of or related to this EULA is subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal, subject to any mandatory consumer-protection right you may have to bring an action in your country of residence.
Before initiating any formal proceedings, you agree to first contact us at contact@msecurity.app and try in good faith to resolve the dispute informally for at least 30 days.
15. Changes to this EULA
We may update this EULA from time to time. Material changes will be notified by email to active account holders, or by an in-Software prompt the next time you launch it, at least 30 days before they take effect. If you do not agree with a change, your sole remedy is to uninstall the Software before the change takes effect; continued use of the Software after the effective date constitutes acceptance.
16. Miscellaneous
- Entire agreement. This EULA, together with the Terms of Service and Privacy Policy, is the entire agreement between you and us about the Software and replaces any prior agreement on the same subject matter.
- Severability. If any provision of this EULA is held unenforceable, the remainder will remain in full force and effect.
- No waiver. Our failure to enforce any provision does not constitute a waiver of that or any other provision.
- Assignment. You may not assign this EULA. We may assign it to a successor in the event of a merger, acquisition, or sale of substantially all our assets, with reasonable notice to you.
- Force majeure. Neither party is liable for failure to perform due to causes beyond reasonable control (natural disasters, infrastructure outages, government action, war, pandemic).
- Language. This EULA is provided in English. Any translation is for convenience only; in case of conflict, the English version controls.
